Minutes of Meeting
Present: George Murray, Everett Bingham, William Southard, Jim Mullen
Everett Bingham called the meeting to order at 6:30PM
A motion was made by William Southard, second by Everett Bingham to approve the resolution to sign three agreements that included:
1. Water System Pre-design Services with Forcier+Aldrich in the amount not to exceed $25,900;
2. Legal services representation with Brady & Callahan in the amount of $20,000; and,
3. Surveying Services contract with DBS Surveys in the amount of $2,990.
Motion passed unanimously and the documents were signed.
Motion to adjourn at 6:35 PM by Everett Bingham second by William Southard passed unanimously.

Wednesday, January 18, 2012

MARTIN MEMORIAL HALL, ASCUTNEY VERMONT
Members Present: George Murray, Everett Bingham
Members Absent: William Southard
Others Present: Jim Mullen
Call to Order - the meeting was called to order at 6:35 P.M.
Executive Session to discuss draft purchase and sales agreement with Vermont Land Trust and Country Estates and a Land Easement with Smiths. - A motion by Everett Bingham, second by George Murray to go into executive session for the purpose of discussing contractual issues with the Vermont Land Trust and Country Estates Water Company and land easement with Smiths passed unanimously at 6:40. Jim Mullen was asked to attend.
The Committee came out of Executive Session at 7:45 P.M. and there were no decisions after the session.
Approve Bank Loan Agreement - Tabled until next meeting.
Minutes Approval - a motion by Bingham to approve minutes for July 11, August 8, August 16, Aug 22, September 19, November 14, November 30, December 8 and December 12, 2011 was seconded by Murray and approved unanimously
Adjournment - Meeting adjourned at 7:52 P.M.

January 11, 2012
Minutes of Meeting
Present: George Murray, Everett Bingham, William Southard, Jim Mullen, Gloria Murray
Everett Bingham called the meeting to order at 6:30PM (George Murray arrived at 6:45PM)
There was discussion of the potential purchase of the Country Estates water system. Estimated cost for generators for the existing pump were discussed.
Joe Duncan was called for a phone conference. Joe reviewed his submitted budget. "Small Purchases" line item was questioned, he explained that this was to cover contingencies that may arise. This project is high on the state bond priority list. Voter approval is required on a short term bond. Archeological reviews are required on the Kelly field well site and on Country Estates wells and on Route 5 line replacement site. The district will receive grants that will reduce the bond repayment amount by about 50%, however the voters need to approve the full amount of the bond.
Jim Mullen explained that during the town vote in March, district residents will receive a separate ballot for district business.
A purchase and sale agreement meeting will be scheduled with the Smiths for Monday, January 30.

Monday December 12, 2011

Others Present: Jim Mullen and Joe Duncan (by phone)
Call to Order - the meeting was called to order at 6:30 P.M.
Executive Session to discuss draft purchase and sales agreement with Vermont Land Trust and Country Estates. - A motion by Everett Bingham, second by George Murray to go into executive session for the purpose of discussing contractual issues with the Vermont Land Trust and Country Estates Water Company passed unanimously at 6:34. Jim Mullen was asked to attend.
Planning Loan Agreement- Joe Duncan discussed the need to increase the Planning Loan from the State to include forthcoming expenses to move the project to a District Bond vote. He outlined various expense categories for a total of $70,000.
Review budget for improvements to Country Estates Water System - Costs for a reduced improvement plan for the water system were discussed and members will be reviewing these costs and meet again to discuss. Generators, building improvements, piping, fencing, site work and meters were included in the draft costs for review.
Payment Warrants - Payment warrant #15 in the amount of $1,986.50, was approved by a motion of Bingham, seconded by Murray.
Adjournment - Meeting adjourned at 8:35 P.M.

Others Present: Jim Mullen, Joe Duncan, Jon Ramsey, Jon Cohen, Wendy Smith, Steve Smith and Joe Duncan
Call to Order - the meeting was called to order at 6:35 P.M.
Executive Session to discuss draft purchase and sales agreement with Vermont Land Trust and Country Estates. - A motion by Everett Bingham, second by William Southard to go into executive session for the purpose of discussing contractual issues with the Vermont Land Trust and Country Estates Water Company passed unanimously. Those asked to attend at various times were Jim Mullen, Jon Ramsey (Vermont Land Trust), Jon Cohen (Kelly Farm prospective buyer), Steve and Wendy Smith (Country Estates) and Joe Duncan (Aldrich+Elliot), AFD engineer.
Jon Ramsey, on Cohen and Joe Duncan were excused for a short deliberation among the committee and town manager.
Wendy and Steve Smith and Joe Duncan were then asked to come back into the Executive Session.
The Committee came out of Executive Session at 9:27 P.M.
Review Proposed Improvements to Country Estate. Water System - There was a short discussion of the essential changes that should be incorporated to the water system if purchased and included emergency generators, new curb stops outside the park and new meters for future customers.
Sign Payment Warrants - a motion by Bingham, seconded by Southard to sign the payment warrant passed unanimously and Warrant #14 in the amount of $800 was approved and signed.
Adjournment - meeting adjourned at 9:50P.M.
